Goodbye Kansas Group AB (publ) has held an extraordinary general meeting (“EGM”) on September 20, 2021. Due to the ongoing pandemic the EGM was carried out through mandatory postal pre-voting. The counting of the postal voting has now been completed and all decisions were made in accordance with the proposals presented in the notice of the EGM.
Decisions regarding Articles of Association
The EGM resolved to change the Articles of Associations’ limits for share capital from a minimum of 3 000 000 SEK and a maximum of 7 500 000 SEK to a minimum of 3 000 000 SEK and a maximum of 12 000 000 SEK. A decision was also made to change the limits for the number of shares from a minimum of 100 000 000 and a maximum of 250 000 000 to a minimum of 100 000 000 and a maximum of 400 000 000 shares. A decision was also made to alter an article regarding general meetings and participation at general meetings due to changes in the Swedish Companies Act. A decision was also made to introduce the use of proxy forms and postal voting.
Authorization for the board to issue shares, convertibles and/or warrants
The EGM resolved to authorize the board of directors during the period up until the next annual general meeting to, on one or more occasions, resolve to issue shares, convertibles and/or warrants with right to convert into and subscribe for shares respectively, with or without preferential rights for the shareholders, within the limits stated by the Articles of Association, to be paid in cash, in kind and/or by way of set-off.
